About the Role

As a Senior Associate specializing in Fintech, you will be an integral part of our legal team, providing comprehensive legal advice and support to clients operating in the rapidly evolving financial technology sector. You will play a key role in navigating the complex regulatory landscape, structuring innovative fintech products and services, and advising on legal issues related to digital finance, cryptocurrencies, blockchain technology, and more.

Location: Lagos, Nigeria

Key Responsibilities

  1.  Regulatory Compliance:

    • Advise clients on regulatory requirements and compliance obligations applicable to FinTech products and services, including banking regulations, securities laws, anti-money laundering (AML) regulations, and data privacy laws.

    • Assist clients in obtaining necessary licenses, registrations, and approvals from regulatory authorities, and ensure ongoing compliance with regulatory requirements.

    • Have the ability to liaise with regulators of Financial Technology products.

    2. Contract Negotiation and Documentation:

    • Draft, review, and negotiate a variety of commercial agreements and contracts, including software licensing agreements, service agreements, partnership agreements, and vendor contracts.

    • Ensure that contracts accurately reflect the parties’ intentions and address legal and regulatory risks associated with FinTech transactions.

    3. Investment and Financing Transactions:

    • Assist FinTech companies in raising capital through venture capital financing, private placements, and initial coin offerings (ICOs) or security token offerings (STOs).

    • Structure investment transactions, draft term sheets and investment agreements, and negotiate terms and conditions with investors and strategic partners.

    4. Intellectual Property Protection:

    • Provide guidance on intellectual property issues relevant to FinTech companies, including patentability assessments, trademark registration, and protection of trade secrets.

    • Draft and negotiate technology-related agreements, including technology transfer agreements, software development agreements, and non-disclosure agreements.

    5. Risk Management and Compliance:

    • Identify legal and regulatory risks associated with FinTech activities and develop risk mitigation strategies to protect clients’ interests.

    • Assist in developing compliance programs and policies to address legal and regulatory requirements, including cybersecurity measures and data protection protocols.

    6. Client Relationship Management:

    • Build and maintain strong relationships with clients, understanding their business objectives, challenges, and opportunities.

    • Serve as a trusted advisor to clients, providing strategic and practical legal advice to support their growth and success in the FinTech industry.

    • Manage client expectations, communicate effectively, and ensure high levels of client satisfaction through responsive and personalized service delivery.

Required Qualifications/Skills:

  • Experience: Min of 9 Years Post Call
  • Background: LLB, BL
  • Technical skills: Demonstrated proficiency in managing complex Banking and Fintech matters, including Open banking / Alternative finance / Payments / FinTech contracting / Crypto and blockchain / License applications / AML CFT / M&A / Outsourcing. conducting legal research, and representing clients in court proceedings.
  • Soft skills: communication, attention to detail, leadership, confidentiality, professionalism
